1. Acceptance of Terms These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Bridging Care LLC, a Washington limited liability company (“Bridging Care,” “we,” “us,” or “our”), governing your access to and use of the website located at https://bridging.care and all associated subdomains, content, features, and services made available through it (collectively, the “Site”). BY ACCESSING OR USING THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND BY OUR PRIVACY POLICY, WHICH IS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SITE. If you are accessing the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. 2. Description of Services Bridging Care LLC is a Washington State-based care coordination organization. The Site provides information about our services, including: • Health Home care coordination programs under Washington State’s Health Home Program, available to eligible Medicaid members; • Aging-in-Place senior care plans available to all Washington State seniors; • Behavioral health telehealth counseling services for eligible Health Home members and the general public; • Information about community partners and resources; and • General educational content related to care coordination, health equity, and chronic condition management. THE SITE IS INFORMATIONAL IN NATURE. THE CONTENT AND RESOURCES AVAILABLE ON THE SITE DO NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT AND ARE NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL CARE. Always seek the guidance of a qualified healthcare provider regarding any medical condition or treatment. 3. Eligibility and Access The Site is intended for use by individuals who are at least 18 years of age, or by minors with verifiable parental or legal guardian consent. By using the Site, you represent that you meet these requirements. Bridging Care reserves the right to refuse access to the Site to anyone at any time for any lawful reason. Certain services described on the Site (including Health Home program enrollment) require eligibility verification through Washington Apple Health (Medicaid) and are subject to additional terms and conditions established by Washington State healthcare authorities and applicable managed care organizations. 4. Intellectual Property Rights All content on the Site, including but not limited to text, graphics, logos, photographs, videos, data compilations, software, and the overall “look and feel” of the Site (collectively, “Content”), is the property of Bridging Care LLC or its content suppliers and is protected by United States and Washington State copyright, trademark, and other applicable intellectual property laws. Subject to these Terms, Bridging Care grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial informational purposes only. This license does not include the right to: • Reproduce, distribute, modify, publicly display, or create derivative works of any Content without our prior written consent; • Use any data mining, scraping, robots, or similar automated data gathering or extraction tools on the Site; • Remove or alter any copyright, trademark, or other proprietary notices from any Content; or • Use any Content for commercial purposes without our express written authorization. Any unauthorized use of the Content may violate copyright, trademark, and other applicable laws and could subject you to civil and criminal penalties. 5. Prohibited Conduct You agree not to use the Site for any unlawful purpose or in any manner that could damage, disable, overburden, or impair our systems. Without limiting the foregoing, you specifically agree not to: • Violate any applicable federal, state, or local law or regulation, including but not limited to the Washington Consumer Protection Act (RCW Chapter 19.86), the Washington Privacy Act (RCW Chapter 19.375), and applicable HIPAA regulations; • Impersonate any person or entity or misrepresent your affiliation with any person or entity; • Transmit any unsolicited or unauthorized advertising or promotional material (“spam”); • Introduce any virus, malware, worm, Trojan horse, or other harmful code; • Attempt to gain unauthorized access to any portion of the Site, server, or network connected to the Site; • Use the Site in any manner that violates the privacy rights of others, including unauthorized collection of protected health information; • Post or transmit false, misleading, fraudulent, or otherwise unlawful content; or • Interfere with or disrupt the integrity or performance of the Site.

6. Privacy and Health Information Bridging Care takes the privacy of your personal and health information seriously. Our collection, use, and disclosure of personal information is governed by our Privacy Policy. To the extent that Bridging Care is a “covered entity” or “business associate” under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) and its implementing regulations, Bridging Care will handle Protected Health Information (“PHI”) in accordance with applicable HIPAA requirements and our Notice of Privacy Practices. Washington State residents have additional privacy rights under the Washington My Health MY Data Act (RCW Chapter 70.372) and the Washington Privacy Act (RCW Chapter 19.375). Please review our Privacy Policy for details regarding these rights, including your right to access, correct, and delete personal data we maintain about you. The Site is not designed to collect, store, or transmit PHI through online contact forms or general inquiry functions. Please do not submit sensitive health information through general contact channels on the Site. 7. Third-Party Links and Partner Resources The Site may contain links to third-party websites, including those of our managed care organization partners such as Molina Healthcare, UnitedHealthcare, Coordinated Care, Community Health Plan of Washington, and Wellpoint. These links are provided for your convenience and informational purposes only. Bridging Care does not control, endorse, or assume any responsibility for the content, privacy practices, or terms of any third-party website. Your use of any third-party website is at your own risk and subject to that website’s applicable terms and policies. We encourage you to review the privacy policies and terms of any third-party site you visit. 8. Disclaimers of Warranties THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY WASHINGTON STATE LAW, BRIDGING CARE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Bridging Care does not warrant that: (a) the Site will be uninterrupted, secure, or error-free; (b) any defects will be corrected; (c) the Site or the servers that make it available are free of viruses or harmful components; or (d) the Content is accurate, complete, current, or reliable. NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE WASHINGTON STATE LAW. 9. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE LAWS OF THE STATE OF WASHINGTON, BRIDGING CARE LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND CONTRACTORS (COLLECTIVELY, “BRIDGING CARE PARTIES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE BRIDGING CARE PARTIES TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100.00). Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by applicable law. 10. Indemnification You agree to defend, indemnify, and hold harmless Bridging Care and the Bridging Care Parties from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of or access to the Site; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any content you submit, post, or otherwise make available through the Site. Bridging Care reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense. 11. Governing Law and Dispute Resolution These Terms and any dispute arising out of or related to the Site or these Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. The parties expressly consent to the exclusive jurisdiction and venue of the state and federal courts located in King County, Washington for the resolution of any disputes arising from these Terms or your use of the Site. WAIVER OF JURY TRIAL: TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND BRIDGING CARE EACH WAIVE ANY RIGHT TO A JURY TRIAL IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE. Washington Consumer Protection: Nothing in these Terms waives any rights you may have under the Washington Consumer Protection Act (RCW Chapter 19.86) or any other non-waivable consumer protection statute. 12. Accessibility Bridging Care is committed to ensuring that the Site is accessible to all individuals, including those with disabilities, in accordance with applicable law, including the Americans with Disabilities Act (ADA) and Washington State accessibility standards. Modifications to These Terms Bridging Care reserves the right to modify these Terms at any time. Any changes will be effective upon posting the revised Terms to the Site with an updated “Last Updated” date. We encourage you to review these Terms periodically. Your continued use of the Site after the posting of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Site. 14. Termination Bridging Care reserves the right, in its sole discretion, to terminate or suspend your access to the Site at any time and for any reason, without notice. Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections 4 (Intellectual Property Rights), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 11 (Governing Law), and 16 (General Provisions) shall survive any termination of these Terms. 15. Regulatory Compliance Notice Bridging Care operates in a highly regulated healthcare environment. Our services are subject to oversight by the Washington State Health Care Authority, applicable managed care organizations, and federal agencies. Nothing in these Terms modifies or supersedes any obligation imposed by applicable healthcare regulations, including HIPAA, the Washington My Health MY Data Act, or conditions imposed by Washington’s Health Home program governing documents. If you believe that Bridging Care has not complied with applicable healthcare privacy laws, you have the right to file a complaint with the U.S. Department of Health and Human Services Office for Civil Rights and/or the Washington State Office of the Insurance Commissioner. 16. General Provisions Entire Agreement. These Terms, together with the Privacy Policy and any additional terms applicable to specific services, constitute the entire agreement between you and Bridging Care regarding your use of the Site and supersede all prior agreements and understandings. Severability. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. Waiver. Bridging Care’s failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights. Force Majeure. Bridging Care shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, government actions, pandemics, or telecommunications failures. Electronic Communications. By using the Site, you consent to receiving electronic communications from Bridging Care, and you agree that all agreements, notices, and disclosures that we provide electronically satisfy any legal requirement that such communications be in writing.
